Q: What should a commercial proposal contain?

Who is offering and to whom, what exactly and at what price, the payment and delivery terms, the validity date of the proposal and contact details. The more specific the figures and deadlines, the easier it is for the customer to decide.

Q: Is a commercial proposal a legal offer?

It can be, if it contains all the essential terms of the contract and the text shows an intention to conclude it with the addressee (Article 435 of the Civil Code). The customer’s agreement within the validity period then means the contract is concluded.

Q: Why state a validity date?

Prices and availability change. The validity date limits the time during which you are obliged to sell on the terms proposed.

Q: Does VAT have to be stated?

Yes, the buyer needs to understand the full cost and whether the tax can be deducted. Select “Included”, “On top” or “No VAT” — the line in the totals appears automatically.
