Document archiveRules for listing products and using the kup2b platform
Appendix 1 to the Offer on the use of the kup2b platform Version dated 7 October 2026.
This is an English translation for convenience. In case of any discrepancy, the Russian version prevails.
1. General provisions
1.1. These Rules form an integral part of the Offer on the use of the kup2b platform (the “Offer”) and are binding on all Participants and Users. Capitalised terms have the meanings defined in the Offer.
1.2. The Rules establish requirements for the Company profile and product Cards, communication on the Platform, as well as the procedure for moderation and applying measures for violations.
1.3. The Operator may supplement the Rules with requirements for particular Product categories (for example, mandatory characteristics) by publishing them in the Platform help centre; such requirements become binding 15 calendar days after publication.
2. Requirements for a Company profile
2.1. The Company name must correspond to the Unified State Register of Legal Entities or the Unified State Register of Individual Entrepreneurs. A commercial designation (brand) may be stated in a separate field.
2.2. The Company description must contain accurate information about its business area, assortment and working terms. The following are prohibited: inaccurate statements about status (official distributor, manufacturer) without confirmation at the Operator's request; comparative assessments of other Participants; and keywords unrelated to the Company's activities.
2.3. The logo must belong to the Company or be used on a lawful basis. It is prohibited to use third-party logos and trademarks, state authority symbols, or images that mislead as to the Company's ownership.
2.4. Warehouses and delivery methods must reflect actual shipping conditions. Warehouse addresses are used to calculate delivery and are shown to Counterparties.
2.5. The Company's contact details (telephone, email, website) may be specified only in the profile fields intended for them and are displayed as determined by section 7.
2.6. Documents for Verification (clause 4.2 of the Offer). For the purposes of checking and registering a Company on the Platform, the Operator requests documents from the Company according to the list in Appendix A to the Rules. Documents are uploaded to the Personal Account as copies. If the Company refuses to provide the requested documents, the Operator may decide not to register the Company.
3. Requirements for a product Card
3.1. Name. The name describes the type of Product, brand (if any), model or key parameters (for example, “VVGng-LS 3×2.5 cable, 100 m coil”). The following are prohibited: using capital letters for the entire name, repeated words, names of other brands “to attract attention”, service notes (“sale”, “bestseller”, “call us”), and contact details.
3.2. Category. A Product is placed in the Seller's catalogue category corresponding to its type; the Seller creates its catalogue categories independently. Placing a Product in a category that does not correspond to its type is prohibited.
3.3. SKU. The SKU must be unique within the Seller's catalogue and is used in Orders, Invoices and integration with the accounting system.
3.4. Description and characteristics. They must be accurate and relate to the particular Product. Mandatory characteristics for a category, if established, must be completed. It is prohibited to include in the description information about other Products, terms unrelated to the Product, contact details or links to external resources.
3.5. Images. No more than 10 images of the Product itself; recommended resolution is at least 800 pixels on the longer side; JPG, PNG or WebP format; maximum file size is 10 MB. The following are prohibited: images with watermarks or third-party logos; contact details or links in images; third-party photographs without the right to use them; images unrelated to the Product; and stock images that mislead as to the Product's appearance.
3.6. Unit of measurement. The unit is selected from the Platform directory (piece, package, kg, m, m², litre, etc.). The unit in the Card must match the unit in which the Seller ships the Product and issues an Invoice.
3.7. Minimum quantity and multiples. If a Product is shipped in batches, the Seller states the minimum quantity and order multiple (for example, minimum 10 pieces, in multiples of 5). If this condition is violated, it will be technically impossible to place an Order.
3.8. Stock. Stock is stated by warehouse and must be kept up to date (manually, by import or through integration). Systematic absence of a Product shown as available is a violation.
3.9. Permits and certificates. For Products subject to mandatory certification, declaration, state registration or labelling (the GIS MT “Chestny Znak”), the Seller must have the relevant documents and marking codes and provide them at the Operator's or Buyer's request within 3 business days. The Platform may provide a field for uploading certificates to a Card.
3.10. Duplicating Cards for the same Product is prohibited, except for colour or size variations arranged as separate SKUs.
4. Products prohibited or restricted for listing
4.1. The following may not be listed on the Platform:
- alcoholic and alcohol-containing products, tobacco products, nicotine-containing products, hookahs and vapes;
- weapons, their main parts, ammunition, explosives, Class IV–V pyrotechnics and special technical means for covert information collection;
- medicines, narcotic and psychotropic substances and their precursors, dietary supplements without state registration, and medical devices without a registration certificate;
- counterfeit Products, Products involving unlawful use of trademarks, and replicas;
- Products withdrawn from circulation or restricted in circulation (precious metals and stones without the relevant permits, cultural valuables, rare animals and plants, and parts of their bodies);
- identity documents, state awards, strict-accountability forms, seals and stamps;
- personal data, databases and accounts;
- financial services, cryptocurrency, securities and cash-out services;
- intimate services, pornographic materials and extremist materials;
- Products whose sale requires a licence if the Seller does not have such a licence (for example, military products and encryption tools).
4.2. Restricted categories. Requirements for a Product depend on its type and the Seller's activities; there is no single “seller licence”. The Seller independently determines and complies with the requirements applicable to its Product, including:
- licensing of activities—for example, circulation of medicines and veterinary medicines;
- state registration of products—for example, disinfectants and certain types of food products and dietary supplements;
- conformity assessment—declaration or certification under the technical regulations of the Eurasian Economic Union (children's goods, personal protective equipment, food products, low-voltage equipment, etc.);
- labelling with identification means—for goods included in the relevant lists.
Cards for Products in restricted categories may be sent by the Operator for review before publication (clause 8.1). The Operator may request permits from the Seller and, until they are provided, not publish the Card or remove it from publication.
4.3. The Operator may expand the list of prohibited and restricted categories and refuse to list any Product if it considers the listing incompatible with the Platform's purpose or associated with legal risks, giving the Seller a reasoned notice.
5. Price information
5.1. Prices are stated in Russian roubles for one unit of measurement specified in the Card. The price must be the actual price at which the Seller is prepared to ship the Product to a Counterparty on the terms stated in the profile.
5.2. The following are prohibited: stating “1 rouble”, “0 roubles” or similarly manifestly unrealistic prices to attract attention; stating a price for a unit other than the one stated in the Card; deliberately understating a price and then refusing to confirm an Order at that price; and listing a price at which the Seller clearly does not intend to ship the Product, followed by offering the Buyer another price (a “bait price”).
5.3. The Seller independently decides whether to show Retail Prices to all visitors or only to Counterparties. If Retail Prices are hidden, Buyers see a “by request” notice and may send a Price Request.
5.4. Individual Prices and discount rules are available only to the Counterparties for whom they are set. The Seller may not publish one Counterparty's Individual Prices in open fields, disclose them to other Counterparties or otherwise exchange price information with them.
5.5. A price fixed in a confirmed Order may not be changed unilaterally by the Seller. A price may be changed only by agreement with the Buyer through a new Order or confirmation of changes to the Order by both Participants in a Thread before shipment, provided this does not conflict with the terms of their agreement.
6. Communication on the Platform
6.1. Communication regarding Price Requests, Orders and Counterparty applications takes place in Platform Threads (chats). Using Threads for advertising, mailings or discussing topics unrelated to the Thread subject is prohibited.
6.2. Insults, threats, obscene language, discriminatory statements, dissemination of inaccurate information about other Participants and persistent repeated messages without a response from the other party are prohibited.
6.3. The Seller undertakes to respond to Price Requests and Orders within 2 business days (clause 7.2.7 of the Offer).
7. Contact details
7.1. The Company's contact details (telephone, email, website address and messengers) may be placed only in the profile fields intended for them. The Operator determines to whom and to what extent these fields are shown: public pages show the Company's name, city and website address; other contact details are available to participants in an Order, Price Request or correspondence to the extent necessary to fulfil them.
7.2. Do not place in public Platform fields any information or images that do not correspond to the purpose of the field (for example, contact details, links to third-party external websites, catalogues and messengers, QR codes, etc.).
7.3. The Seller's details and contacts may be stated in an Invoice and shipping documents; Counterparties may exchange contacts in a Thread to resolve shipping issues for a particular Order; a manufacturer's website may be stated in Product characteristics where it contains no sales offers; and Participants may enter into and perform a supply agreement outside the Platform under clause 9.4 of the Offer.
7.4. The Operator may automatically mask sequences resembling telephone numbers, email addresses and links in public fields and notify the Seller that a Card must be corrected. The Seller must make the necessary changes to the Card within 2 business days after receiving the notice.
8. Moderation and measures for violations
8.1. The Operator checks a Company's profile on Registration (Verification). Product Cards are published without prior review, except for Cards that automated checking classifies as restricted categories (clause 4.2): the Operator reviews such Cards before publication. Later, the Operator checks Cards selectively and in response to complaints by Participants and rights holders submitted through the “Report” form or to hello@kup2b.ru. A check does not confirm the legality of a Product or the accuracy of information and does not release the Seller from liability.
8.2. For violating the Offer, these Rules or the laws of the Russian Federation, the Operator may apply one or more of the following measures to a Company and/or User:
8.2.1. Warning and a requirement to remedy the violation, provide documents confirming compliance or amend the Content. The remedy period is stated in the notice and is generally 3 business days. If the violation concerns a security threat, listing a prohibited Product or Content, a requirement of a state authority or court, the period may be shortened or the measure applied without a prior warning.
8.2.2. Hiding or deleting a product Card, Company profile, individual Content or individual information from the Platform's public pages. Hiding remains in effect until the violation is remedied and, if necessary, until the Operator completes its review. Deleted Content may not be restored if its listing violates the Offer, these Rules, the law or third-party rights.
8.2.3. Restriction of individual Platform functions, including creating and editing product Cards, listing new Products, sending Price Requests and Orders, participating in Threads, publishing contact details or using individual Personal Account functions. The restriction applies for the period stated in the notice, usually no more than 30 calendar days. For a repeated or continuing violation, the period may be extended to 90 calendar days.
8.2.4. Suspension or blocking of access by a User or Company to the Platform in full or to individual functions. For a first violation, blocking generally applies for up to 30 calendar days; for a repeated violation within 12 months or a material violation, for up to 90 calendar days. If blocking is related to document review, eliminating a security threat or complying with a state authority or court requirement, access may be restricted until the relevant event occurs, but the Operator reviews the need for blocking at least once every 30 calendar days.
8.2.5. Mandatory repeat Verification of the Company or User, confirmation of authority, provision of documents, password change, termination of active sessions, restoration of secure access or other actions necessary to remedy a violation or security threat.
8.2.6. Archiving of the Company profile, including hiding it from the Platform's public pages, if the Company has not been active for more than 12 consecutive months. The profile may be restored at the Company's request after confirmation of its status and repeat Verification, if required.
8.2.7. Refusal to publish, restore or republish a product Card, profile or other Content if it does not comply with the Offer, these Rules, legal requirements, Verification results or requirements for the relevant Product category.
8.2.8. Termination of the Agreement and deletion of the Account, Company profile or related data in the cases and procedure provided by section 16 of the Offer. Termination does not release the Company from its obligations under already confirmed Orders unless their performance is prohibited by law, creates a security threat or prevents compliance with a state authority or court requirement.
8.2.9. When selecting a measure, the Operator considers the nature and seriousness of the violation, its duration, the existence and amount of possible harm, a threat to security or third-party rights, any repeated violation during the preceding 12 months, substantiated complaints, the conduct of the Company and User after notice, cooperation with the review and voluntary remedy of the violation.
8.2.10. A measure is applied proportionately to the violation and to the extent necessary to stop it, eliminate its consequences or prevent repetition. The Operator may apply a measure directly to a User if the violation relates only to that User's actions, without restricting the access of other Company Users, unless otherwise required to protect the Platform, the Company, other Participants or third parties.
8.2.11. Confirmed Orders for a hidden Product must be fulfilled unless fulfilment violates the law, security requirements, third-party rights or a binding state authority or court requirement. If such an obstacle exists, the Operator may suspend fulfilment of the relevant Orders and notify the Company.
8.2.12. If a prohibited Product or Content is listed, or in the event of fraudulent actions, misleading Participants, a security threat, unauthorised access, materially inaccurate information or a state authority or court requirement, the Operator may immediately hide, delete, restrict functions or block access before sending a prior warning. In that case, notice is sent immediately after the measure is taken unless disclosure of the grounds is prohibited by law or could harm a review or investigation.
8.2.13. The Operator does not impose monetary fines for violating the Offer or these Rules unless the Offer and law expressly provide otherwise. Applying the measures in this clause does not limit the Operator's right to claim compensation for losses and expenses in the cases provided by the Offer.
8.3. The Operator immediately hides or blocks access upon: listing Products from the list in clause 4.1; fraudulent actions or misleading Participants; a security compromise; a state authority requirement; or discovery of inaccurate Company information.
8.4. The Operator notifies the Company of measures taken and states the grounds, except where disclosure of the grounds is prohibited by law or could harm an investigation. The Company may challenge a measure by sending objections to hello@kup2b.ru. The Operator considers objections within 7 business days and informs the Company of the result.
8.5. Participant complaints about violations are sent through the “Report” form in a product Card, profile or Thread, or to hello@kup2b.ru, specifying the object and substance of the violation. The Operator does not inform the complainant of measures taken, except where necessary to protect the complainant's rights.
9. Final provisions
9.1. The Rules are amended in accordance with the procedure established by section 15 of the Offer.
9.2. If the Rules conflict with the Offer, the Offer applies unless the Rules expressly establish special regulation for the particular case.
