Document archivekup2b Platform Plans and Pricing
Form part of the Offer on the use of the kup2b platform (clause 14.1 of the Offer). Version dated 7 October 2026.
This is an English translation for convenience. In case of any discrepancy, the Russian version prevails.
Capitalised terms not defined here have the meanings given in the Offer (https://kup2b.ru/legal/offer).
1. General provisions
1.1. These Plans and Pricing determine the cost of using the Platform by a Seller, the available features, payment procedure, trial period, consequences of non-payment, procedure for changing a Plan and refunding fees.
1.2. The Plans and Pricing apply to a Company participating as “sell” or “sell and buy” (the “Seller”). Use of the Platform by a Buyer—Registration, Verification, access to Sellers' catalogues, Price Requests and placing Orders—is free of charge.
1.3. The Plan fee is the Operator's remuneration for providing the Seller with access to the Platform and the right to use its functionality (clauses 2.1 and 2.6 of the Offer). The Operator does not charge a commission on transactions between Participants and does not participate in settlements between them (clause 2.4 of the Offer).
1.4. Prices are stated in Russian roubles. The Operator is exempt from the duties of a VAT payer (Article 145 of the Tax Code of the Russian Federation): VAT is not charged and the Operator does not issue invoices.
2. Plans and their features
2.1. The following Plans are available on the Platform:
| Plan | Active buyers | Staff members | Cost per month | What comes in |
|---|---|---|---|---|
| Start | 12 | 3 | 5 000 RUB | Catalogue, price requests, orders, invoices, chat; Exchange with 1C (CommerceML); Connection assistance; Chat support |
| Growth | 30 | limitlessly | 9 000 RUB | All from the "Start" plan; REST API and webhooks |
| No limit | limitlessly | limitlessly | 16 000 RUB | All from the "Growth" plan; Priority service, out-of-queue treatment |
2.2. Exchange with the 1C accounting system is available on every Plan. The application programming interface (API) and webhooks are available on Plans that include them.
2.3. Connection assistance means the Operator's consultations on configuring the catalogue, imports, warehouses, pricing rules and exchange with the accounting system. The support chat operates in the mode and within the periods established by clause 6.1.4 of the Offer. Priority service means that the Seller's requests are considered before requests from Companies on other Plans.
2.4. The employee limit is the maximum number of Users with access to the Company's Personal Account, including its owner. Unanswered invitations to the Company count towards the limit.
3. Active Buyers and the Plan limit
3.1. An Active Buyer is a Buyer Company whose Counterparty relationship with the Seller has been confirmed by the Seller and has not been disabled by it. An Active Buyer has access to the Seller's Individual Prices, the Seller's private catalogue and the ability to place Orders.
3.2. Only Active Buyers count towards the Plan limit. The following do not count: applications not yet confirmed by the Seller; relationships disabled or blocked by the Seller; relationships with a Company deleted from the Platform; and Buyers who sent a Price Request but did not accept the Price Offer.
3.3. A Price Request and a response to it are available regardless of the limit. Space within the limit is required when the Buyer accepts the Price Offer: from that moment, the Buyer becomes an Active Buyer.
3.4. Once the limit is reached, the Seller cannot confirm a relationship with a new Buyer until it disables its relationship with another Active Buyer or switches to a Plan with a higher limit.
3.5. Disabling a relationship does not delete information about the Buyer, Order history or correspondence; the relationship can be restored if there is space within the limit. The Operator does not independently disable the Seller's relationships with Buyers.
4. Trial period
4.1. The Operator grants a Seller that has passed Verification a Trial Period of 10 calendar days, during which the default Plan applies in full and no fee is charged. The Trial Period is calculated from the Verification date or, if the Company declared its participation type “sell” later, from the date of that declaration.
4.2. The Trial Period is granted once. Repeat Verification, a change of Plan, participation type or User composition does not renew or extend it.
4.3. A Trial Period is not granted to a Company registered under a tax identification number for which a Trial Period was already granted during the preceding 1 years. For this purpose, the Operator uses the tax identification number and date of the previously granted Trial Period, which it stores as the details of a party to previously executed documents; after the stated period, these details are not used for this purpose.
4.4. The Plan may be paid for on any day of the Trial Period. In that case, the paid period is calculated from the date the payment is credited and is not added to the unexpired part of the Trial Period.
4.5. The payment period provided by clause 7.1 is not added to the Trial Period: if the Plan is not paid by the end of the Trial Period, the consequences provided by clause 7.2 occur.
4.6. The Operator may change the duration of the Trial Period or stop providing it to Companies undergoing Verification after such change. The change does not apply to Trial Periods already granted.
5. Billing period, price and discounts
5.1. The billing period is one month. It is calculated from the date payment is credited to the Operator's bank account through the corresponding date of the following month; if that date does not exist in the month, through the last day of the month.
5.2. If payment for the same Plan is credited before the previously paid period ends or during the payment period (clause 7.1), the new paid period begins on the day following the end of the previous one: the unexpired part of the previous period is not lost, and the days granted for payment are included in the new paid period.
5.3. If payment is credited while catalogue publication is suspended (clause 7.2), the paid period is calculated from the date of crediting; suspension days are not charged.
5.4. The Seller may pay for one or more Billing Periods in advance. When several periods are paid with one Invoice, the following discount applies:
| Paid term, month. | Discount | Start | Growth | No limit |
|---|---|---|---|---|
| 1 | — | 5 000 RUB | 9 000 RUB | 16 000 RUB |
| 3 | 5 % | 14 250 RUB | 25 650 RUB | 45 600 RUB |
| 6 | 10 % | 27 000 RUB | 48 600 RUB | 86 400 RUB |
| 12 | 15 % | 51 000 RUB | 91 800 RUB | 163 200 RUB |
5.5. A change in Plan prices does not affect paid periods or issued but still valid Invoices: they remain valid at the price applicable on the Invoice issue date.
6. Payment procedure
6.1. The Seller selects a Plan and paid term in the Personal Account and generates an Invoice. An Invoice is generated only for a Company that has passed Verification. A Company may have one unpaid Invoice at a time.
6.2. An Invoice is valid for 5 calendar days from its issue date. After this period, the Seller generates a new Invoice; a payment received under an overdue Invoice is accepted if the Company's Plan has not changed since the Invoice was issued.
6.3. Payment is made by bank transfer in roubles from the bank account of the Company to which the Invoice was issued, with the Invoice number stated in the payment purpose. The Company may not delegate its payment obligation to third parties. A payment received from another person is not payment of the Invoice and is returned to the payer within 10 business days.
6.4. The payment obligation is deemed fulfilled when the funds are credited to the Operator's bank account. The Operator reconciles receipts against the bank statement; the Plan is activated no later than the next business day after crediting.
6.5. An amount received that is less than the Invoice amount is not payment of the Invoice: no paid period is provided. The Operator informs the Company and, within 10 business days of receiving its request, returns the amount received or, at the Company's instruction, credits it towards another Invoice.
6.6. If an amount greater than the Invoice amount is received, the Invoice is deemed paid and the paid period is provided in the amount stated in the Invoice. The Operator returns the excess within 10 business days of receiving the Company's request or, at its instruction, credits it towards the next Invoice.
6.7. Renewal is not automatic: the Operator does not debit funds from the Company's account. The Operator offers payment for the Plan by email and by a Platform Notification: 3 calendar days before the end of the Trial Period; 10 and 3 calendar days before the end of the paid period; on the day the paid period ends (stating how many payment days remain); and 3 calendar days before suspension. The Operator notifies the Seller of catalogue publication suspension in the same manner.
7. Consequences of non-payment
7.1. At the end of a paid period, the Seller is given 5 calendar days to pay for the next Billing Period. During these days, the Platform operates as before; if payment is made, they are included in the new paid period (clause 5.2).
7.2. If payment is not received, the Operator suspends publication of the Seller's catalogue: the catalogue is hidden from public pages and search engines, and Buyers cannot place new Orders with the Seller.
7.3. During suspension, the Seller retains access to the Personal Account, while the Seller and its Counterparties retain access to previously placed Orders, Invoices and Threads. Suspension does not terminate the Seller's obligations under confirmed Orders.
7.4. Suspension is not a liability measure for breach of the Offer or the Rules (clause 6.2.2 of the Offer).
7.5. After payment is credited, publication resumes no later than the next business day in the catalogue mode that applied before suspension.
7.6. Search engines do not immediately remove previously indexed pages; the timing is determined by their rules and is outside the Operator's control.
8. Changing a Plan
8.1. The Seller may switch to another Plan at any time by generating an Invoice. A switch to a Plan with lower limits is possible if the number of Active Buyers and Company employees does not exceed the limits of the selected Plan.
8.2. The selected Plan begins to apply when the Invoice is generated. If payment is not received during the Invoice validity period (clause 6.2), the Company returns to its previous Plan. The Seller may cancel an unpaid Invoice itself. For a Company whose catalogue publication is suspended, the new Plan is activated after payment is credited.
8.3. When another Plan is paid for, the paid period is calculated from the crediting date, and the unexpired part of the previously paid period is added to it in days.
9. Withdrawal from the Agreement and refund
9.1. If the Seller withdraws from the Agreement (clause 16.2 of the Offer), the Operator, upon the Seller's request, refunds the fee for complete Billing Periods that had not begun as of the termination date. The fee for a Billing Period that has begun is not refunded. The refund is calculated based on the amount actually paid for one Billing Period.
9.2. If the Operator terminates the Agreement on the ground specified in subparagraph (b) of clause 16.3 of the Offer, the Operator refunds the fee for the unexpired part of the paid period in proportion to the number of days remaining.
9.3. If the Operator terminates the Agreement due to the Company's breach of the Offer or the Rules (subparagraph (a) of clause 16.3 of the Offer), the fee is refunded under clause 9.1.
9.4. The refund is made to the Company's bank account within 10 business days of receiving a request sent to hello@kup2b.ru from the Company's owner's address.
10. Reporting documents
10.1. The Invoice is posted in the Personal Account when generated, and the service acceptance certificate is posted at the end of the paid period. Documents are provided electronically in PDF format.
10.2. The certificate is deemed accepted by the Company without objections if the Company does not send reasoned objections to hello@kup2b.ru within 5 business days after it is posted in the Personal Account.
10.3. Exchange of documents through electronic document management operators will be introduced as technical readiness permits.
11. Changes to Plans
11.1. The Operator may change the Plans in accordance with clause 14.2 of the Offer, with at least 30 calendar days' notice before the changes take effect.
11.2. The Operator's details are provided in section 19 of the Offer; the bank details for payment are stated in the Invoice.
