Q: How is interest under Article 395 calculated?

For each day of delay: debt × the Bank of Russia key rate in effect on that day / number of days in the year. When the rate changes, the period is split into parts.

Q: From what day does the delay begin?

From the day after the last day of the payment period. If payment is due by 24 July, the first day of delay is 25 July.

Q: Which to choose: interest under Article 395 or a penalty?

If the contract sets a penalty for late payment, the penalty applies; in that case interest under Article 395 is, as a general rule, not charged (Article 395(4) of the Civil Code). If the contract has no penalty, interest under Article 395 is calculated.

Q: How are partial payments taken into account?

The day of payment counts as a day of delay on the previous amount; from the next day interest is charged on the balance.

Q: Where does the key rate come from?

From the Bank of Russia website; it is updated once a day. The date up to which rates are known is shown under the calculation.

Q: Can the court reduce the penalty?

Yes, if it is clearly disproportionate to the consequences of the breach and the debtor has asked for this (Article 333 of the Civil Code). The court does not reduce interest under Article 395 below the key rate.

How much to charge the debtor for late payment: at the Bank of Russia key rate or at the rate in the contract. The calculation by period can be attached to the claim.
